Our Business Terms & Conditions to Suppliers

1.            Definitions

1.1.        Company refers to Giraffe London Ltd, trading as Giraffe Translations (registered address: 8b Accommodation Road, Golders Green, London NW11 8ED)

1.2.        Services are translation, interpreting, proofreading or any other services that are provided by the Supplier

1.3.        Client is the party instructing the Company to provide the Services

1.4.        Supplier refers to the party commissioned by the Company to carry out the Services

1.5.        Purchase Order (PO) refers to a document issued by the Company to the Supplier, providing details for the Services the Supplier will provide to the Company.

2.            General

2.1.        Upon accepting a project, the Supplier agrees with these Terms.

2.2.        The Supplier shall only accept work that is within his/her professional competence.

3.            Fees

3.1.        All fees payable by the Company to the Supplier shall be mentioned in the PO.

3.2.        Upon completion of a project, the Supplier must send an invoice to the Company within 14 days.

3.3.        Unless otherwise agreed in the PO, translation fees are calculated per 1000 words of source text at the rate agreed upon in the PO. If the calculation of the source word-count is not possible, the Company will calculate fees per 1000 words of the target text.

3.4.        Unless otherwise agreed in the PO, interpreting fees are calculated per hour of work (travel, wait, and/or attendance) at the rates agreed upon in the PO.

4.            Payments

4.1.        Payments shall be made in whatever currency mentioned in the PO.

4.2.        The Company shall not pay any charges for bank transfers to the Supplier's account.

4.3.        Payments shall be made by the Company to the Supplier within 60 days of the date of the Supplier's invoice.

5.            Cancellation

5.1.        If the Company cancels a translation project before the Supplier starts the project, the Company shall not pay any fees to the Supplier.

5.2.        If the Company cancels a translation project after the translator begins the job, the Company shall pay the Supplier for the number of words translated up to that time (at the agreed rate).

5.3.        If the Company cancels an interpreting project with a notice of 24 hours or more before the project starts, the Company shall not pay any fees to the Supplier.

5.4.        If the Company cancels an interpreting project with less than 24 hour notice, the Company will pay the Supplier for 2 hours of work at the agreed rate of attendance.

6.            Confidentiality

6.1.        Both the Company and the Supplier will take reasonable precautions to ensure that all confidential information, either oral or written, remains confidential.

6.2.        The Supplier undertakes not to divulge any confidential information in whole or in part to any third party and not to make use of any of the said confidential information which may come to his/her knowledge as a result of providing the Services.

6.3.      The Supplier undertakes to treat as confidential information (under the GDPR Agreement) and hold in confidence any and all business information relating to the interest of the Company and clients in the Company's projects.

7.            Non-Solicitation

7.1.        In consideration of the Company requiring the Services in relation to translation, interpreting and other related matters during the course of which the Company will be disclosing certain proprietary and confidential information, the Supplier agrees not to either alone or jointly with any other person whether as principal agent or employee for the period of six months following the end of any period during which the Supplier provides the Services to the Company to canvas, solicit or enter into any agreement or arrangement with any person whom s/he knows to be or have been within the last six months a client of the Company or further agrees not to discourage or attempt to discourage any such client from dealing with the Company in the future during the said six-month term.

8.           Jurisdiction

8.1.        These Terms and any contracts between the Company and the Supplier shall be governed by and construed in accordance with the laws of England and Wales and shall be subject to the jurisdiction of the English Courts.
